Florida LLC Required Before Anything Else Can Move Forward
Your LLC must exist and be active before you can open a business bank account, apply for a commercial loan, obtain fleet insurance, register a Tesla Business Account, sign a Tesla Fleet purchase agreement, or take title to a Cybercab. The LLC — not you personally — is the buyer and the titled owner.
Do not proceed past this step until your Articles are approved by the Florida Division of Corporations and your EIN is confirmed by the IRS.

Step 6 — Commercial Insurance
A commercial AV fleet insurance policy naming the LLC as insured is required before Tesla will assign a VIN or release a vehicle.

1. PARTIES. This Platform Advisory Agreement ("Agreement") is entered into between 1st Cybercab, LLC, a Florida limited liability company ("Platform Operator"), and the client identified in the account profile ("Client").
2. PLATFORM SERVICES. Platform Operator provides advisory, coordination, and platform management services to assist Client in procuring, registering, and operating Tesla Cybercab vehicles on the Tesla Robotaxi Network. All vehicle orders are placed directly by Client through Tesla's platform. Platform Operator does not purchase, title, or operate vehicles on Client's behalf.
3. FEES. Client agrees to pay a one-time Setup Fee of $499.00 per Cybercab ordered, and a monthly Business Tracker Fee of $99.00 per Cybercab per month. The Setup Fee is due at the time of order submission. The Business Tracker Fee is billed monthly per enrolled vehicle and covers ongoing platform access, document management, and fleet coordination services. All fees are non-refundable after service commencement.
4. CLIENT RESPONSIBILITIES. Client is solely responsible for: vehicle financing and purchase; LLC formation and maintenance; insurance procurement and maintenance; compliance with all applicable laws; and participation in the Tesla Robotaxi Network per Tesla's terms.
5. NO GUARANTEE OF EARNINGS. Platform Operator makes no representation or guarantee regarding earnings, network uptime, Tesla fare rates, or vehicle availability. All earnings projections are estimates only.
6. TERM & TERMINATION. This Agreement commences upon signing and continues month-to-month. Either party may terminate with 30 days written notice.
7. GOVERNING LAW. This Agreement shall be governed by the laws of the State of Florida. Any disputes shall be resolved through binding arbitration in Orange County, Florida.
8. ENTIRE AGREEMENT. This Agreement constitutes the entire agreement between the parties and supersedes all prior representations, warranties, and understandings.

Our sole function is to assist clients in navigating the process of ordering, onboarding, and activating Tesla Cybercab vehicles through Tesla's Fleet and Robotaxi Network programs. We serve as a concierge intermediary — coordinating documentation, communicating with third parties on your behalf when authorized, and providing organizational tools through this client portal.

6. Financing and Lending Disclosure

1st Cybercab, LLC is not a lender, mortgage broker, or credit services provider and is not licensed under any state or federal lending law. We do not originate, underwrite, approve, or fund loans. Any lender introductions or financing referrals facilitated through this platform are provided as a convenience only, and the client is solely responsible for all financing decisions, loan terms, and repayment obligations.

All cash purchase documentation requests — including Proof of Funds letters — are coordinated solely to assist the client in assembling documents required by Tesla for vehicle procurement. 1st Cybercab does not verify, validate, or guarantee the authenticity or sufficiency of any financial documentation. All purchase funds are transferred directly between the client and Tesla — 1st Cybercab never holds, transfers, or controls client funds.
7. Relationship to Tesla, Inc.
Independence, trademarks, and network participation

The name "Cybercab," the Tesla logo, and all related marks are the intellectual property of Tesla, Inc. Their use in this portal is solely for descriptive, referential purposes to identify the vehicle product that is the subject of our ordering facilitation service.

Participation in the Tesla Robotaxi Network is subject to Tesla's terms, approval, eligibility requirements, and network availability — all of which are determined solely by Tesla, Inc. Tesla may modify, restrict, suspend, or discontinue the Robotaxi Network or any associated program at any time without notice. 1st Cybercab has no control over and assumes no liability for Tesla's network decisions, fare structures, or operational policies.
8. Florida Regulatory Disclosure

Platform fees are earned for facilitation services rendered, not for outcomes achieved.
To the maximum extent permitted by applicable law, 1st Cybercab, LLC's total liability to any client for any claim arising from or related to platform services shall not exceed the total platform fees paid by that client in the twelve (12) months preceding the claim.
